Excel workbook · PDF

A starting point for the actual deal.

Test a purchase price against the cash needed to close and operate the business. The workbook separates sources and uses, operating assumptions and financing, then shows debt coverage and pre-tax buyer cash flow over time. Its worked example is fictional. Change the inputs to the transaction you are investigating and confirm the assumptions with your accountant and lender.

Generic English edition. Governing law and transaction details require your review.

How to use this template

  1. Enter one currency and a consistent annual operating basis.
  2. Include working capital and closing costs alongside the purchase price.
  3. Replace financing and operating assumptions with supported inputs.
  4. Compare downside outcomes and discuss funding conditions with your advisers.

Common questions

Does the model approve a loan or value the business?

No. It calculates outcomes from your assumptions. Financing requires the lender's assessment, and a purchase scenario is not an independent valuation.

Can I use it outside the United States?

The generic workbook uses user-entered debt terms in one currency. It does not perform foreign exchange or apply local lending or tax rules. Any SBA preset in Venturu is a separate US-specific option.
