A starting point for the actual deal.
Choose an NDA for the actual relationship before sharing nonpublic business information. A direct buyer-seller discussion, a broker relationship and access to a specific listing are different situations. The four forms below preserve those distinctions, including who signs. They do not create a purchase commitment, brokerage appointment or automatic access to every document.

Choose the right confidentiality agreement
Buyer and seller NDA
Mutual confidentiality for a private acquisition discussion. Buyer and seller both sign.
Listing confidentiality undertaking
A buyer-only undertaking for authorized disclosure of a specific listing. No countersignature is required by this form.
Buyer and broker NDA
Mutual protection for acquisition requirements, capacity and relationship discussions. Separate listing access may still be required.
Seller and broker NDA
Mutual confidentiality while evaluating an advisory relationship. This does not appoint a broker or agree a commission.

Common questions
Which form should a buyer and seller use directly?
The private-target buyer and seller NDA is intended for their acquisition or investment discussion. Both parties sign. A buyer-broker relationship form serves a different purpose.
Does signing unlock an entire data room?
No. Confidentiality obligations and permission to access particular documents are separate. The information owner still controls which materials may be shared.
