A starting point for the actual deal.
This agreement records an exclusive appointment to market a business. It defines the broker's services, the seller's cooperation and the agreed compensation arrangements. It is separate from confidentiality and from the eventual sale contract. Complete the fee basis and payment timing explicitly, including how deferred consideration and excluded introductions are treated.
Generic English edition. Governing law and transaction details require your review.
How to use this template

- Agree services, exclusivity, term, marketing permissions and asking price.
- Complete commission calculation, exclusions and the protection period.
- Review local requirements and sign before beginning the agreed representation.
Common questions
Does an NDA appoint the broker?
No. The seller-broker confidentiality agreement does not itself create representation or commission. Those terms belong in a separate engagement such as this listing agreement.
Is the commission fixed by this template?
No. The parties must complete the commercial terms. Review the fee basis, minimum, taxes, timing and treatment of deferred amounts rather than assuming a standard rate.
