A starting point for the actual deal.
A business acquisition LOI records the principal proposed terms before the definitive purchase agreement. This template separates the proposed transaction from provisions identified as binding, including confidentiality and exclusivity. It supports either an asset or equity proposal, but the structure and commercial terms still need to be completed for the actual deal.
Generic English edition. Governing law and transaction details require your review.
How to use this template
- Identify the contracting parties and the business or interests involved.
- Complete price, financing, timing and proposed conditions.
- Review which provisions are binding and how they interact with an existing NDA.
- Obtain transaction advice before signing; retain the signed version with the pursuit.
Common questions
Is the whole LOI nonbinding?
No. This template distinguishes nonbinding purchase proposals from provisions stated to be binding for their purposes. Review that distinction and the completed wording with your lawyer.
Can the LOI complete the business purchase?
It is a preliminary proposal. The parties still need appropriate definitive documents, satisfied conditions and the actual closing exchange.
